1.Agreement to These Terms

These Terms of Service (the “Terms”) are a binding agreement between you and Ellevate Studios, LLC, a Texas limited liability company doing business as Casa Ellevate(“Casa Ellevate,” “we,” “us,” or “our”). They apply to www.casaellevate.com and any related pages, forms, and features (the “Site”), and to the studio services we provide (the “Services”).

By accessing the Site, joining our waitlist, or using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy. If you do not agree, please do not use the Site or the Services.

These Terms are effective as of, and were last updated on, the “Last updated” date shown at the top of this page.

2.Eligibility & Age

You must be at least 18 years old to create an account, make a purchase, or enter into a contract with us. A parent or legal guardian must complete any registration, purchase, and required waiver on behalf of a participant under 18. By using the Services, you represent that the information you provide is accurate and that you have the legal capacity to agree to these Terms.

3.The Site & Founding Member Waitlist

The Site is currently a pre-opening marketing site. Joining the founding member waitlist allows us to contact you with updates and offers, but it is not a purchase, reservation, or guarantee of membership, a class, a founding rate, or any particular pricing or availability. Any founding-member benefits, pricing, and limited-spot offers are described for informational purposes, may change, and are subject to the specific terms presented at the time you enroll.

4.Communications & Consent

When you join our waitlist or contact us, you agree that we may communicate with you by email, phone, and (where you have provided a mobile number and consented) text message regarding our studio, your membership, scheduling, and promotions. Message and data rates may apply. You can opt out of marketing emails at any time using the unsubscribe link, and you can opt out of text messages by replying STOP. Some transactional messages (for example, booking confirmations or account notices) are necessary to provide the Services.

SMS Program Terms

1. Program Description. By opting in, you agree to receive recurring automated text messages from Casa Ellevate (“we,” “us,” “our”) at the mobile number you provided. Messages may include appointment reminders, booking and account alerts, promotional offers, and customer support follow-ups. Consent to receive these messages is not a condition of any purchase.

2. Message Frequency. You may receive up to 8 messages per month. Message frequency may vary depending on your activity and interactions with us.

3. Message and Data Rates. Message and data rates may apply. Charges are billed by and payable to your mobile service provider. Please contact your wireless carrier for details about your messaging plan.

4. How to Opt Out and Get Help. You can unsubscribe from SMS at any time by replying STOP to any message we send you. After you send STOP, you will receive a one-time confirmation message, and no further messages will be sent. If you want to rejoin, you can sign up again using the original opt-in method or reply START. For help or more information at any time, reply HELP to any of our messages. You can also contact our support team directly at move@casaellevate.com.

5. Carrier Liability Disclaimer. Carriers are not liable for any delayed or undelivered messages.

5.Memberships, Classes, Bookings & Payments

When the studio opens, classes, class packages, and memberships will be offered subject to the prices, descriptions, and policies posted at the time of purchase. By purchasing, you authorize us (and our payment processor) to charge the payment method you provide for all applicable fees, including recurring membership fees until you cancel in accordance with your membership agreement and applicable law. You are responsible for keeping your payment and contact information current.

Membership cancellations & refunds

Casa Ellevate operates as a registered Texas health spa, and memberships are sold under a separate written membership agreement that governs cancellation and refunds. Nothing in these Terms waives or limits the cancellation and refund rights provided to you by the Texas Health Spa Act (Tex. Occ. Code Ch. 702), which include, among others: the right to cancel your membership before midnight of the third business day after you sign it and receive a full refund; the right of a member (or the member’s estate) to cancel and receive a refund of the unused portion upon death or total permanent disability; and the right to cancel if you move more than 25 miles from the studio or if the studio relocates or stops offering its facilities within 10 miles. You may cancel by any method permitted by law — including in person, by email, by telephone, or by certified mail, and, for a membership purchased through our website, through the website. The cancellation and refund notices required by Texas law appear in your membership agreement.

Scheduling, cancellations & no-shows

Class reservations, waitlists, late-cancellation windows, no-show fees, package expirations, and membership freezes are governed by our Studio Policies, which we will publish and may update from time to time. Refund eligibility for single classes and class packages is as described in those policies and as required by applicable law.

6.Health, Safety & Assumption of Risk

Our Services involve physical exercise, including mat and reformer Pilates, strength work with weights, movement and dance-based classes, and classes conducted in heated rooms. Physical activity carries inherent risks, including the risk of serious injury. You should consult a physician before beginning any exercise program. By participating, you represent that you are physically able to participate and you voluntarily assume the risks of participation.

All participants are required to read and sign our Assumption of Risk, Release of Liability, and Waiver before taking part in any class or activity. That waiver is in addition to, and incorporated into, these Terms. Nothing on the Site or in the Services is medical advice.

7.Studio Conduct

We want Casa Ellevate to be a warm, welcoming space. You agree to follow posted studio rules and staff instructions, to treat instructors, staff, and other members with respect, to arrive on time, and to use equipment safely and as directed. We reserve the right to refuse service, end a class, or suspend or terminate access for conduct that is unsafe, disruptive, harassing, or in violation of these Terms or our policies.

8.Acceptable Use of the Site

You agree not to:

• Use the Site for any unlawful purpose or in violation of these Terms;
• Submit false, misleading, or another person’s information without authorization;
• Attempt to gain unauthorized access to the Site, our systems, or other users’ data, or interfere with the Site’s operation or security;
• Use any automated means (bots, scrapers) to access or collect data from the Site without our written permission; or
• Copy, reproduce, or distribute Site content except as expressly permitted.

9.Intellectual Property

The Site and its content — including the Casa Ellevate and Ellevate Studios names, logos, and marks (claimed under common law and/or the subject of pending trademark applications), text, graphics, photography, class names and descriptions, and design — are owned by or licensed to Ellevate Studios, LLC and are protected by applicable intellectual property laws. We grant you a limited, personal, non-exclusive, non-transferable license to use the Site for its intended purpose. All rights not expressly granted are reserved. You may not use our trademarks without our prior written consent.

10.Feedback

If you send us ideas, suggestions, or feedback about the Site or Services, you grant us a perpetual, royalty-free, worldwide license to use them without restriction or obligation to you.

11.Third-Party Services & Links

The Site relies on third-party providers (for example, hosting, scheduling, analytics, and payment processing) and may link to third-party sites or services. We are not responsible for the content, policies, or practices of third parties. Your use of third-party services is governed by their terms.

13.Limitation of Liability

Nothing in these Terms — including the disclaimers, the limitation of liability, and the indemnification provisions — excludes or limits any right, remedy, or liability that cannot lawfully be excluded or limited, including your rights under the Texas Health Spa Act (Tex. Occ. Code Ch. 702) and the Texas Deceptive Trade Practices–Consumer Protection Act.

14.Indemnification

You agree to indemnify, defend, and hold harmless Ellevate Studios, LLC and its owners, members, managers, instructors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to your use of the Site or Services, your violation of these Terms, or your violation of any law or the rights of a third party.

15.Governing Law & Disputes

These Terms are governed by the laws of the State of Texas, without regard to its conflict-of-laws rules. You agree that the exclusive venue for any dispute arising out of or relating to these Terms, the Site, or the Services will be the state or federal courts located in Travis County, Texas, and you consent to the personal jurisdiction of those courts. These governing-law and venue provisions do not waive any statutory right or remedy available to you under the Texas Health Spa Act or other applicable consumer-protection law.

16.Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the “Last updated” date above and, where appropriate, provide additional notice. Your continued use of the Site or Services after changes take effect constitutes acceptance of the updated Terms.

17.Termination

We may suspend or terminate your access to the Site or Services at any time, with or without notice, including for conduct that violates these Terms or our policies. Sections that by their nature should survive termination — including intellectual property, disclaimers, limitation of liability, indemnification, and governing law — will survive.

18.Miscellaneous

If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force. Our failure to enforce a provision is not a waiver of it. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. These Terms, together with the Privacy Policy and any Studio Policies and signed waiver, are the entire agreement between you and us regarding the Site and Services.
